Terms of Use
Effective from 4 October 2026. This version replaces all previous versions.
1. General
These Terms of Use ("Terms") govern the use of the online platform shoppi.app, shoppi.cloud and all related websites and mobile applications (together, the "Service") by users in the United Kingdom. Your contracting party is Shoppi Ltd, 5 Brayford Square, London E1 0SG, United Kingdom, email: [email protected], a company registered in England and Wales under company number 07885604.
2. Scope & Acceptance
By accessing or using the Service you accept these Terms in their current version. If you do not agree, you may not use the Service.
3. Privacy
Our Privacy Policy explains how we collect and process personal data. The Privacy Policy is information and does not form part of these Terms; where processing requires your consent, we ask for it separately.
4. Registration & Account
- Registration is open to individuals aged 16 or over. Companies and other organisations register through a person authorised to represent them.
- All information given at registration must be true, complete and up to date. Multiple accounts are not permitted.
- You must keep your login details confidential and tell us without delay about any unauthorised use.
5. User Obligations
In particular, you agree
- not to publish unlawful content or do anything that breaks the law,
- not to use the Service for fraudulent or abusive purposes,
- not to use automated means of collecting data (scraping, crawling and similar),
- not to distribute malicious code (viruses, worms and similar), and
- to respect the rights of others, in particular copyright, trade mark and personality rights.
6. User Content
You alone are responsible for any content ("User Content") that you post. You grant us a non-exclusive, worldwide, royalty-free licence, unlimited in time, to host, store, reproduce, make publicly available and edit that content for the purpose of operating the Service.
We may remove User Content or suspend accounts where there are indications of a breach of these Terms or of the law.
7. Intellectual Property
All rights in the Service and its content (software, designs, texts, graphics, trade marks and similar) remain with us or our licensors. Any use beyond the intended use of the Service requires our prior written consent.
8. Warranty & Liability
We provide the Service with reasonable care and skill. We do not, however, guarantee that the Service will be permanently available, have particular features or be free of errors.
We are not liable for losses that were not reasonably foreseeable when you started using the Service, or for business losses if you use the Service as a consumer. Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded by law, and nothing affects your statutory rights as a consumer, including under the Consumer Rights Act 2015.
9. Changes to the Service
We may adapt, restrict or discontinue the Service in whole or in part at any time. Where essential features are removed, existing users will be informed in advance.
10. Term & Termination
The user relationship is entered into for an indefinite period and either party may end it at any time without notice in writing (for example by email). The right to terminate immediately for good cause is unaffected.
11. Changes to these Terms
We may change these Terms for the future where there is a valid reason (for example a change in the law or in the features of the Service). We will tell you about changes at least six weeks before they take effect, by email or when you next log in. The changed Terms only apply to you once you expressly accept them (for example by confirming when you log in); your silence does not count as acceptance. If you do not accept, the previous Terms continue to apply, and either party may then end the user relationship under section 10.
12. Governing Law & Disputes
These Terms are governed by the law of England and Wales. If you are a consumer, you also benefit from any mandatory provisions of the law of the part of the United Kingdom where you live.
If you are a consumer, you may bring proceedings in the courts of England and Wales or, if you live in Scotland or Northern Ireland, in the courts of your home nation. If you use the Service as a business, the courts of England and Wales have exclusive jurisdiction.
We are neither obliged nor willing to take part in dispute resolution proceedings before a consumer arbitration body.
13. Severability
If any provision of these Terms is or becomes invalid in whole or in part, the validity of the remaining provisions is not affected.
14. Artificial Intelligence
We use AI technologies transparently. Automated decisions or AI-based recommendations are subject to human oversight where required by law.
